Creator Terms

About This Document

These Creator Terms ("Terms") govern your use of the ARAY platform and your relationship with ARAY Social Ltd as a member of the ARAY creator roster. By creating an account on the ARAY platform, you agree to be bound by these Terms and the accompanying Privacy Policy.

These Terms do not cover individual content creation projects. When you are selected for a specific project or campaign, you will be asked to sign a separate Project Agreement covering deliverables, payment, content rights, and other project-specific terms.

1. Who We Are

ARAY Social Ltd ("ARAY", "we", "us", "our") is a company registered in England and Wales under company number 14392788, with its registered address at Floor 1, No 1 St Michaels, 36 Jacksons Row, Manchester, England, M2 5WD.

We operate a platform that connects brands with vetted UGC (user-generated content) creators in beauty, wellness, lifestyle, and related niches. We act as an intermediary between creators and brands, curating shortlists and managing relationships on behalf of both parties.

2. Eligibility

  1. You must be at least 18 years old to create an account on the ARAY platform.
  2. By creating an account, you confirm that the information you provide is accurate and complete, that you have the legal capacity to enter into these Terms, and that you are acting in a business or professional capacity in relation to the content creation services offered through ARAY.
  3. ARAY reserves the right to reject or revoke any application at its reasonable discretion.

3. Your Account

  1. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
  2. You must notify ARAY promptly if you become aware of any unauthorised access to your account.
  3. You may not transfer or share your account with another person.
  4. ARAY may suspend or terminate your account if you breach these Terms, if your profile remains incomplete for an extended period, or if ARAY determines in its reasonable discretion that your continued participation is not appropriate.

4. Your Profile and Portfolio

  1. As part of your application, you will be asked to provide personal information and build a portfolio of video content. The types of information we collect are described in detail in our Privacy Policy.
  2. You agree to keep your profile information accurate and up to date. This includes your contact details, availability, appearance details, and any other information relevant to being matched with brand opportunities.
  3. Your portfolio videos and profile information will be used by ARAY to assess your suitability for the roster and to match you with brand opportunities. By submitting this content, you grant ARAY a non-exclusive, royalty-free, sublicensable licence to display, share, and use your portfolio content and profile information for the purpose of operating the platform, presenting you to potential brand partners, and promoting the ARAY platform and services.
  4. This licence does not transfer ownership of your portfolio content to ARAY. You retain all intellectual property rights in the videos and images you upload as part of your portfolio. Content created as part of a specific project engagement is governed by the separate Project Agreement for that engagement.
  5. Creators may update their profile and portfolio content after approval. However, ARAY reserves the right to review any changes and may request modifications if updated content does not meet ARAY's quality or community standards. Material changes to a creator's portfolio may trigger a re-review of their roster status.
  6. ARAY may revoke a creator's approved status if their profile, portfolio, or conduct no longer meets ARAY's standards, or if they breach these Terms. Where reasonably practicable, ARAY will notify the creator of the reason and provide an opportunity to address the issue before revoking approval. ARAY's decision on roster status is final.
  7. If you include other individuals (such as family members, friends, or pets' owners) in your profile content or portfolio, you confirm that you have obtained their informed consent to appear, and in the case of minors, that you have obtained consent from their parent or legal guardian.

5. How ARAY Works With You

  1. ARAY operates a curated, managed model. We search our creator roster, build shortlists, and present selected creators to brands. Brands do not have direct, unsupervised access to browse all creator profiles.
  2. You understand and agree that ARAY may share your profile information, portfolio content, and relevant personal details (such as location, content niche, and appearance attributes) with prospective brand partners for the purpose of matching you to opportunities. Your sensitive contact information (such as your email, phone number, home address, Instagram handle, TikTok handle, YouTube URL, and personal website URL) is accessible only to ARAY administrators.
  3. Being on the ARAY roster does not guarantee that you will be selected for any project or receive any payment. Selection is at the discretion of ARAY and the relevant brand.

6. Exclusivity on Brand Introductions

  1. Where ARAY introduces you to a brand for a potential project, you agree not to work directly with that brand on UGC content outside of the ARAY platform for a period of 12 months following the introduction, unless ARAY provides written consent.
  2. This exclusivity applies only to brands introduced to you through ARAY. It does not prevent you from working with brands you have an existing, independent relationship with, provided that relationship predates your introduction through ARAY.
  3. If a brand approaches you directly for work that was initially facilitated through ARAY, you are expected to redirect that enquiry through ARAY.
  4. If you undertake work with a brand in breach of this Section 6, ARAY shall be entitled to receive its standard commission on such work, calculated as if the work had been facilitated through the ARAY platform.

7. Your Responsibilities

You agree to:

  1. Provide accurate and truthful information in your profile and application.
  2. Respond to communications from ARAY in a timely manner.
  3. Maintain a professional standard in all interactions facilitated through the platform.
  4. Comply with all applicable laws, including advertising standards and disclosure requirements when creating content.
  5. Not use the platform for any unlawful or fraudulent purpose.
  6. Not attempt to circumvent ARAY's role as intermediary between you and brands.

You must not upload, share, or submit any content that:

  1. Infringes the intellectual property rights of any third party.
  2. Is defamatory, obscene, threatening, or otherwise objectionable.
  3. Contains malware or any harmful code.
  4. Violates any applicable law or regulation.

8. ARAY's Responsibilities

  1. ARAY will operate the platform with reasonable care and take appropriate measures to protect your personal data in accordance with our Privacy Policy and applicable data protection law.
  2. ARAY will act as a responsible intermediary, presenting your work fairly to brands and ensuring your sensitive contact details are accessible only to ARAY administrators.
  3. ARAY does not guarantee platform availability and may need to perform maintenance, updates, or changes to the platform from time to time.

9. Termination and Account Deletion

  1. You may close your account and leave the ARAY roster at any time through the account settings on the platform, or by contacting us at general@araysocial.com. Account deletion is permanent and cannot be undone.
  2. ARAY may terminate your account with 30 days written notice, or immediately if you materially breach these Terms.
  3. On termination:
    1. Your profile will be removed from active consideration for brand opportunities.
    2. ARAY will retain your data in accordance with the retention periods described in the Privacy Policy.
    3. Any existing Project Agreements in progress will continue to be governed by their own terms until completion.
    4. The exclusivity obligations in Section 6 will survive termination for the duration specified.

10. Limitation of Liability

  1. To the fullest extent permitted by law, ARAY's total liability to you under or in connection with these Terms shall not exceed £100.
  2. ARAY shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities.
  3. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

11. Changes to These Terms

  1. ARAY may update these Terms from time to time. We will notify you of material changes by email or through the platform.
  2. If you continue to use the platform after being notified of changes, you will be deemed to have accepted the updated Terms. If you do not agree with the changes, you may close your account in accordance with Section 9.
  3. We will maintain a record of the version of the Terms you agreed to when you created your account.

12. General

  1. These Terms are governed by the laws of England and Wales.
  2. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
  3. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  4. ARAY's failure to enforce any right under these Terms shall not constitute a waiver of that right.
  5. These Terms, together with the Privacy Policy and any Project Agreements you sign, constitute the entire agreement between you and ARAY in relation to your use of the platform and membership of the creator roster. In the event of any conflict between these Terms and a Project Agreement, the Project Agreement shall prevail in respect of project-specific matters (including deliverables, payment, content rights, and usage rights).
